1. About Our Services

Welcome to MSMS360, a proprietary school management system (“Software”) developed and operated by MSMS360 (“Company,” “we,” “us,” or “our”). These Terms and Conditions ("Agreement”) govern your access and use of the Software, including all associated services, applications, and content.

By accessing or using MSMS360, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, you must discontinue use immediately.

2. Privacy Policy and User Data

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal data. By using our Services, you agree to the data practices described in the Privacy Policy.

All data entered into MSMS360 by a customer remains the property of that Customer. We act as a data processor and will only process personal data on behalf of and in accordance with the Customer's instructions.

3. Acceptable Use of Our Services

You agree to use our Services only for lawful, authorized, and acceptable purposes. You will not use (or assist others in using) our Services in ways that:

4. Third-Party Services

Our Services may allow you to access, use, or interact with third-party websites, apps, content, and other products and services. Please note that when you use third-party services, their own terms and privacy policies will govern your use of those services. We are not responsible or liable for your use of such third-party services.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Software solely for educational and administrative purposes, subject to this Agreement. You must not:

6. Reporting Intellectual Property Infringement

We respect the intellectual property rights of others. If you believe that any content available on or through our Services infringes upon any copyright, trademark, or other intellectual property right you own or control, please notify us immediately at talk@msms360.com.

Your notice should include a description of the infringing material, its location on our Service, and proof of your ownership of the right.

7. Disclaimers and Release

YOU USE OUR SERVICES AT YOUR OWN RISK AND SUBJECT TO THE FOLLOWING DISCLAIMERS. WE ARE PROVIDING OUR SERVICES ON AN "AS IS" BASIS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE. WE DO NOT WARRANT THAT ANY INFORMATION PROVIDED BY US IS ACCURATE, COMPLETE, OR USEFUL, THAT OUR SERVICES WILL BE OPERATIONAL, ERROR-FREE, SECURE, OR SAFE.

You release us, our subsidiaries, affiliates, and our and their directors, officers, employees, partners, and agents from any claim, complaint, cause of action, controversy, or damages, known and unknown, relating to, arising out of, or in any way connected with any such claim you have against any third parties.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability under this Agreement shall not exceed the amount paid by the Customer in the three (3) months preceding the claim. We are not responsible for data loss due to user error, third-party integrations, or unauthorized access resulting from user negligence.

9. Indemnification

Users agree to indemnify and hold us harmless from any claims, damages, or expenses arising from their use of the Software, their violation of this Agreement, or their infringement of any third-party rights.

10. Changes, Availability, and Termination of Our Services

We are always trying to improve our Services. That means we may expand, add, or remove our Services, features, and functionalities. Our Services may be interrupted, including for maintenance, repairs, upgrades, or network or equipment failures.

We may discontinue some or all of our Services, including certain features and the support for certain devices and platforms, at any time after a notice period of 30 days. No such notice will be required in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.

Events beyond our control may affect our Services, such as events in nature and other force majeure events. We may suspend or terminate your access to our Services if you violate the letter or spirit of this Agreement.

11. Dispute Resolution and Governing Law

This Agreement and any dispute arising from it are governed by the laws of Ghana. Any disputes shall be resolved exclusively in the courts of Accra, Ghana.
